In or about April 2011, Polin Public Relations entered into a initial public relations agreement (the “First PR Agreement”) with BG Capital Group South Florida, Inc. (“BG Capital”) and Robert Genovese (“Genovese”) for a monthly retainer fee of $5,000 per month, plus expenses. Polin Public Relations performed services pursuant to the First PR Agreement for approximately one month and received one monthly retainer fee from BG Capital/Genovese of $5,000.
In or about August 2012, Polin Public Relations entered into a second public relations agreement (the “Second PR Agreement”) with BG Capital and Genovese for a monthly retainer fee of $6,000 per month, plus expenses. Polin Public Relations performed services pursuant to the Second PR Agreement for approximately two months and received two monthly retainer fees from BG Capital/Genovese in the amount of $6,000 each for a total of $12,000.
In or about October 2012, Polin Public Relations entered into a third public relations agreement (the “Third PR Agreement”) with BG Capital and Genovese for a monthly retainer fee of $3,500 per month, plus expenses. Polin Public Relations received one monthly retainer fee from BG Capital/Genovese in the amount of $3,500 and $865 for reimbursement of expenses for a total of $4,365.
In November 2012, Polin Public Relations elected to terminate all public relations agreements with BG Capital. As part of its election to terminate its public relations agreements with BG Capital and Genovese, Polin Public Relations also chose to refund BG Capital/Genovese a total of $16,365 for fees and expenses paid pursuant to the Second and Third PR Agreements.
